Welcome to Outdoor Energy Adventures (“OEA,” “we,” “us,” or “our”). These Terms & Conditions govern your access to and use of the OEA website, member features, event listings, communications, and related services.
By accessing the OEA website, creating or using an account, RSVPing to an event, or otherwise using OEA services, you agree to these Terms & Conditions.
If you do not agree to these terms, you should not use the OEA website or participate in OEA activities.
1. ABOUT OEA
Outdoor Energy Adventures is a private, invitation-only social group that helps members discover, coordinate, and participate in outdoor, recreational, adventure, and social activities.
OEA is not, unless expressly stated otherwise, a professional tour operator, outfitter, transportation provider, travel agency, medical provider, safety service, or professional guide service.
Events may be organized by OEA administrators, volunteer event hosts, participating members, or independent third-party providers.
2. ELIGIBILITY AND INVITATION-ONLY ACCESS
OEA membership and participation are by invitation only.
We may approve, deny, suspend, or revoke access to the website, membership features, or events at our discretion, subject to applicable law.
Users are responsible for keeping their account credentials secure and for all activity occurring through their account.
You may not share your account with another person or permit an unauthorized person to access invitation-only OEA content.
Unless expressly stated otherwise, OEA participation is intended for individuals age 18 or older.
3. EVENT PARTICIPATION
Participation in OEA events is voluntary.
By RSVPing to or attending an OEA event, you agree that you are responsible for evaluating whether the activity is suitable for your abilities, health, experience, and comfort level.
Certain events may involve inherent risks, including risks associated with hiking, kayaking, boating, cycling, camping, swimming, off-road activities, weather, wildlife, transportation, equipment, remote locations, and other recreational activities.
Participation in an OEA event may require acceptance of a separate Participant Waiver, Assumption of Risk, and Release of Liability.
If a separate waiver applies to an event, that waiver is incorporated into these Terms by reference.
4. EVENT INFORMATION
OEA attempts to provide accurate and useful event information, including dates, times, locations, equipment needs, difficulty levels, costs, and other details.
However, event information may change and may contain errors, omissions, or outdated information.
You are responsible for confirming important details before participating, including:
- event time and location;
- weather and environmental conditions;
- admission or rental fees;
- parking information;
- equipment requirements;
- age, weight, health, or experience restrictions;
- facility or provider rules; and
- cancellation or refund policies.
OEA does not guarantee that any event will occur exactly as originally described.
5. CHANGES, CANCELLATIONS, AND WEATHER
Events may be changed, postponed, relocated, shortened, or canceled because of weather, safety concerns, participation levels, provider availability, facility closures, government restrictions, or other circumstances.
OEA is not responsible for expenses incurred by a participant as a result of an event change or cancellation unless expressly stated otherwise.
Participants are responsible for understanding the cancellation and refund policies of any independent provider involved in an event.
6. THIRD-PARTY PROVIDERS
OEA events may involve third-party businesses or organizations, including parks, outfitters, guides, rental companies, campgrounds, restaurants, lodging providers, transportation providers, and recreational facilities.
Unless expressly stated otherwise, these providers are independent from OEA.
OEA does not control and does not guarantee the services, safety practices, licensing, insurance, personnel, equipment, facilities, policies, or performance of third-party providers.
Your dealings with a third-party provider may be subject to that provider's own terms, policies, waivers, and agreements.
7. THIRD-PARTY LINKS
The OEA website may contain links to third-party websites, maps, weather services, ticketing platforms, reservation systems, social media sites, or other online services.
These links are provided for convenience.
OEA does not control and is not responsible for the availability, accuracy, security, content, privacy practices, or services of third-party websites.
Accessing a third-party website is at your own risk.
8. PARTICIPANT RESPONSIBILITY
Each participant is responsible for acting prudently and making appropriate personal safety decisions.
You are responsible for:
- using appropriate equipment and safety gear;
- following applicable laws and facility rules;
- following reasonable safety instructions;
- carrying needed food, water, medication, clothing, and supplies;
- properly operating any equipment you use;
- determining whether conditions are within your abilities;
- monitoring weather and environmental conditions;
- respecting private and public property; and
- withdrawing from an activity if you believe continuing would be unsafe.
Participation in an OEA event does not create a guarantee of supervision or personal safety.
9. TRANSPORTATION
Unless expressly stated otherwise, OEA does not provide transportation.
Carpooling or rides arranged between members are private arrangements between those individuals.
OEA does not inspect, insure, operate, or control participant vehicles and is not responsible for transportation-related incidents, delays, accidents, injuries, losses, or damages.
10. FEES AND PAYMENTS
Some OEA events may involve costs such as admission fees, rental fees, lodging, food, permits, equipment, transportation, or third-party reservation charges.
Unless expressly stated otherwise, such payments are made directly to the applicable provider and are governed by that provider's refund and cancellation policies.
If OEA directly collects money for a particular event, the applicable payment and refund terms will be disclosed during registration.
11. USER CONDUCT
You agree not to use OEA services or participate in OEA activities in a manner that:
- violates applicable law;
- threatens or endangers another person;
- harasses, intimidates, discriminates against, or abuses another participant;
- intentionally damages property;
- materially disrupts an event;
- interferes with the operation or security of the OEA website;
- attempts to access another user's account;
- distributes malware or malicious code;
- scrapes, copies, or collects private member information without authorization; or
- misuses OEA membership or event information for commercial solicitation.
OEA may remove a participant from an event or suspend or terminate access for violations of these standards.
12. MEMBER CONTENT
Members may have the ability to submit content such as comments, event discussions, photographs, or other material.
You are responsible for content you submit.
You agree not to upload content that is unlawful, defamatory, threatening, infringing, deceptive, malicious, or invasive of another person's privacy.
You retain ownership of content you create, but by submitting content to OEA you grant OEA a nonexclusive, royalty-free license to display, reproduce, and use that content as reasonably necessary to operate the group, website, event galleries, and related communications.
13. PHOTOGRAPHS AND VIDEO
Photos or video may be taken during OEA events.
Unless you notify an event organizer that you do not wish to appear in OEA photographs, you permit OEA to use photographs or video in which you appear for OEA's website, event gallery, social media, and group communications.
OEA cannot control photographs or recordings made independently by other participants or members of the public.
14. INTELLECTUAL PROPERTY
The OEA name, branding, website design, graphics, logos, original content, event materials, and other OEA-created materials are owned by or licensed to OEA and are protected by applicable intellectual property laws.
You may use OEA materials for personal, noncommercial purposes related to your participation in the group.
You may not reproduce, sell, distribute, modify, or commercially exploit OEA materials without prior permission.
15. WEBSITE AVAILABILITY
We do not guarantee that the OEA website or any feature will always be available, uninterrupted, secure, or error-free.
We may modify, suspend, or discontinue portions of the website or membership services at any time.
We are not responsible for losses caused by outages, technical failures, data loss, third-party hosting services, internet disruptions, or unauthorized access outside our reasonable control.
16. DISCLAIMER OF WARRANTIES
To the fullest extent permitted by law, the OEA website, event information, and related services are provided on an “as is” and “as available” basis.
OEA makes no warranties, express or implied, regarding:
- the accuracy or completeness of website content;
- the availability or suitability of an event;
- the safety of any location, activity, route, equipment, or provider;
- the performance of third-party services; or
- the results of participating in an OEA event.
Information provided by OEA should not be treated as professional medical, legal, safety, travel, or technical advice.
17. LIMITATION OF LIABILITY
To the fullest extent permitted by law, OEA and its organizers, administrators, event hosts, volunteers, representatives, members, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the OEA website, attendance at an event, reliance on event information, or interaction with third-party providers.
Participation-related injury claims are also subject to the separate OEA Participant Waiver, Assumption of Risk, and Release of Liability where applicable.
Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.
18. INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless OEA and its organizers, administrators, event hosts, volunteers, representatives, and agents from claims, losses, liabilities, damages, costs, and expenses resulting from:
- your violation of these Terms;
- your unlawful conduct;
- your misuse of the OEA website;
- content you submit;
- damage or injury caused by your actions; or
- your violation of another person's rights.
19. PRIVACY
OEA may collect and use personal information needed to operate the website, maintain membership, manage events, process RSVPs, communicate with members, and maintain participation records.
Our collection and use of personal information is governed by the OEA Privacy Policy.
20. ACCOUNT SUSPENSION OR TERMINATION
OEA may suspend or terminate a user's access when reasonably necessary to protect the group, its members, the website, or other persons.
Reasons may include violations of these Terms, unsafe behavior, harassment, abuse, unauthorized access, misuse of member information, or conduct inconsistent with the nature of the group.
Termination of website access does not affect provisions of these Terms that by their nature are intended to survive termination.
21. MODIFICATIONS TO THESE TERMS
OEA may update these Terms periodically.
The current version will be posted on the OEA website with the effective or last-updated date.
Material changes may require members to accept the revised Terms before continuing to use certain features or RSVP to future events.
Continued use of the website after updated Terms take effect constitutes acceptance of the updated Terms where permitted by law.
22. GOVERNING LAW
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any dispute relating to these Terms or the use of OEA services shall be brought in a court of competent jurisdiction in Florida, subject to applicable law.
23. SEVERABILITY
If any portion of these Terms is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in effect.
24. ENTIRE AGREEMENT
These Terms, together with the OEA Privacy Policy, Participant Waiver and Assumption of Risk, and any event-specific terms or third-party agreements, constitute the applicable agreement governing your use of OEA services and participation in OEA activities.
